1. Your general use of this website (collectively, the “Website”) is subject to the General Terms of Use (including our Privacy Policy) (collectively, the “TOU”). Please note that by visiting, accessing, and using this Website, you will be deemed to have accepted the TOU and to be legally bound by the TOU. If you do not agree to the TOU, please do not visit, access, and/or use this Website.

2. The TOU may be changed from time to time at the sole discretion of Global Ocean Distribution Pte Ltd (collectively, the “Global Ocean”) and your continued use of the Website shall constitute acceptance of the TOU as may be revised from time to time. As such please regularly check the TOU.

3. The use of specific parts of the Website and/or specific services found in the Website may be subject to further specific terms and conditions.

4. The Website is owned and maintained by Global Ocean.

5. All materials on this Website (including information, images, videos and text) (the “Materials”) are subject to copyright and trademark laws and other forms of intellectual property rights and are the property of either Global Ocean or their respective intellectual property right owners.

6. You may only use the Materials, to the extent that the Materials are necessary for accessing the Website and the services provided on the Website by Global Ocean.

7. Except as expressly provided in the TOU, no part of the Website and no Materials may be used, modified, reproduced, republished, posted, transmitted, or distributed in any way without the prior written consent of Global Ocean.

8. The reproduction, republishing, posting, transmission, distribution, modification, or unauthorized use of the Materials will be a violation of the owner of the copyright and/or other intellectual property rights. You may face civil and/or criminal liability for such a violation.

9. The privacy of your personal information is important to us. The terms of our Privacy Policy as amended from time to time are incorporated into the TOU by reference. Please carefully read our Privacy Policy, which explains our data use and privacy practices in detail.

10. This Website may occasionally be taken off-line as and when deemed necessary by Global Ocean (including, but not limited to, for the purposes of website maintenance). Global Ocean may also at any time also deny or restrict access to this Website, without the need to provide any notice or reasons whatsoever for the denial or restriction.

11. Global Ocean does not make any warranty that the Website shall always be accessible to you, or that your access will be error-free, uninterrupted, or that the Website and any files or other data downloaded from the Website will be free of all viruses and other harmful software.

12. The Materials provided on this Website are provided on an “as is” basis, and Global Ocean does not, to the full extent permitted by law, make any warranty (express or implied) that the Materials are accurate, timely, merchantable, and/or fit for any particular purpose.  Global Ocean may change any or all of the Materials without any notice.

13. Global Ocean will not be responsible for any damage that you may suffer as a result of the use of this Website and the Materials, including any inability to access the Website, any reliance on the accuracy of the Materials and any viruses or harmful software acquired as a result of accessing the Website and the Materials.

14. You may only use this Website to the extent necessary for accessing the Website and/or the services offered on or through the Website by Global Ocean. Except as expressly provided in the TOU, the use of this Website in any other way shall constitute unauthorized use and Global Ocean reserves the right to deny or restrict such unauthorised use, which includes but is not limited to:

a. the use of any computer program, algorithm or methodology (whether automated or manual), to access, copy, compile information, monitor any part of this Website, or to bypass the security measures of the Website;

b. the transmission via or through the Website of any information, data, text, images, files, links, or software other than for purposes expressly provided in the TOU or with the prior written consent of Global Ocean;

c. the introduction to the Website of any virus, malicious programs, and/or harmful code (howsoever named);

d. the impersonation via this Website of any person, including other registered users or an employee of Global Ocean;

e. the violation of any personal or propriety right; and

f. acts of misrepresentation and/or fraud. 

15. Global Ocean shall have the right at all times to delete or edit all material which it deems to be in connection with any of the matters set out at paragraph 14 above, or that which is otherwise appropriate.

a. libelous, obscene, abusive, or otherwise unlawful content;

b. advertisements;

c. personal and/or confidential information which you are not authorized to post, transmit or otherwise send;

d. spam;

e. material which infringes intellectual property rights; and

f. information and/or material of a similar nature to the above.

18. This Website may contain hyperlinks to third party websites that are not owned by Global Ocean. These hyperlinks are provided purely as a matter of convenience, and unless specifically stated otherwise, Global Ocean is not affiliated with and does not endorse these third-party websites. Global Ocean is not responsible for any damage you may suffer as a result of accessing these third-party websites, or using or relying on any content, products or services of these third-party websites, and you hereby irrevocably waive any claim against Global Ocean with respect to such third-party websites. You are responsible for familiarizing yourself with the terms and conditions of use of these third-party websites. 

19. You may provide a hyperlink to this Website on other websites. Unless otherwise agreed to between you and Global Ocean, such hyperlinks do not amount to any form of association with, endorsement of, or affiliation to such other websites on the part of Global Ocean. Unless otherwise agreed to, you shall not provide hyperlinks to this Website in a manner that suggests (whether expressly or implied) that Global Ocean is associated to, endorses, or is affiliated to the other website.

20. Global Ocean reserves the full discretion to disable and or block (as may be necessary) any links to the Website.

21. You shall not send email invitations to visit the Website to persons whom you do not know, or who are unlikely to recognize you.

22. By accessing the Website, you assume all risks associated with its use, including but not limited to the risk that your computer, software or data may be damaged by any virus transmitted by this website or by any third-party content or third-party websites. To the extent permitted by law, all warranties, conditions and claims (whether express or implied) arising out of or in any way connected with this website are hereby excluded. By accessing our website, you agree to indemnify Global Ocean for any loss, damage, costs or expenses whatsoever suffered by any person or entity arising out of or in any way connected with your access to this website.

23. You shall also have access to the eStore on the Website. Without prejudice to the generality of the other provisions in the TOU, the provisions of this part shall apply to the use of the eStore.

24. You may place an order by providing the relevant details and clicking on the “Buy Now” or “Add To Cart” button to submit your order. All orders are irrevocable upon submission and by doing so, you confirm that the details contained in your submitted order are correct in all aspects. If the order is confirmed, we will notify you by sending a confirmation email to your registered e-mail address, upon which a binding agreement shall form between Global Ocean and you upon this TOU and such other specified terms for the sale and purchase. Notwithstanding the generality of the foregoing, Global Ocean reserves the right, at any time, to reject your order for any reason whatsoever.

25. You acknowledge that while Global Ocean takes all reasonable efforts to ensure that the information in the eStore is complete and reliable, the information may still contain typographical errors, omissions, pricing errors, and other errors or inaccuracies. For avoidance of doubt, any such errors, and/or inaccuracies shall not be binding. Notwithstanding the aforesaid, Global Ocean shall take all reasonable effort to correct any such errors and/or inaccuracies as soon as practicable.

26. Items may differ slightly from the images shown although every effort is made to ensure that all descriptions are as accurate as possible.

27. Global Ocean reserves the right to:

• revoke any stated offer affected by such errors.

• correct any such errors.

• make changes to prices, content, promotion offers, goods descriptions or specifications, or other information affected by the errors, without any obligation to issue any notice of such changes.

28. In the case of our listing items on the third-party online shopping mall such as Carousell.sg (our T&C) and Shopee.sg (shop account name is “Price is Right”) (collectively, the “Price is Right Items”), you acknowledge and agree that your purchase of the same is always subject to the third-party online shopping mall’s terms and conditions including such terms governing cancellation, exchange and/or refunds for your intended purchase and/or purchase.

29. You acknowledge that Goods purchased from the eStore may be shipped to you via a third-party carrier, and that all risk of loss and title to the goods shall pass to you upon Global Ocean’s delivery of such goods to such third-party carrier. Unless expressly provided for, Global Ocean shall not be responsible for any damage, delay, or loss of the goods during delivery arising from the actions of the carrier. For the avoidance of doubt, in the case of Price is Right Items, Global Ocean shall not be responsible for any damage, delay or loss of the goods during the delivery of such Price is Right Items to you.

30. Goods purchased from the eStore may also be delivered to you via alternative means (e.g., self-collection). Where applicable, such alternative means will be specified directly on the relevant page of the eStore, and your purchase of the good shall be deemed to be acceptance of such alternative means of delivery.

31. Unless otherwise provided for, all payments shall be by way of credit card in the eStore.

32. You shall at all times be responsible for the safekeeping of particulars of your credit cards and unless we are expressly informed otherwise you shall be deemed the authorized cardholder and/or payment account holder for the purposes of making payments for purchases made via the eStore. Any information provided by you for the purposes of making payments for purchases via the eStore are to be treated in such a manner whereby you are the authorized cardholder and/or payment account holder.

33. You undertake to ensure that all details you provide to us for payment are correct, and that there are sufficient funds to cover the cost of the goods or services being purchased. In the event that you suspect unauthorized use of your credit card, or any unauthorized payment made thereto, you shall be liable for contacting the issuing bank. For the avoidance of doubt, Global Ocean shall, to the extent possible under the law, not be responsible or liable for any loss or damage arising from fraudulent transactions involving your credit card. Global Ocean expressly reserves the right to immediately cancel, delay, or recall any good, benefit, or service if there is reason to believe that it is a fraudulent transaction.

34. In the event that you have ordered goods or services which are supplied by a Supplier, Global Ocean does not guarantee and shall not be responsible for any refunds should such goods and services be cancelled.

35. Unless explicitly provided otherwise, there shall be strictly no return and no refund for the purchase of tickets　and gift cards; items that are perishable; custom-made items and made-to-order items; skincare, healthcare, accessories, underwear; 2nd-hand items; sale items; and/or any other items which may be specified on the eStore as being non-returnable and/or non-refundable (except where the law requires).

36. Items which are received defective or in a damaged condition; or which have been incorrectly delivered (i.e., where a different item from the item that was ordered has been delivered) may be returned, subject to the following terms and conditions:

• You must inform Global Ocean within 7 days of receipt of such items in the event that the items are defective, damaged, or incorrectly delivered. In the event that you do not do so, Global Ocean will assume that you have received the items in a state that conforms to the description of the Global Ocean Items on the Website and that are in item condition.

• In the case of our listing items on the third-party online shopping mall, you will be required to communicate directly with the on third-party online shopping mall to process any returns request, which returns process shall at all times be subject to the third-party’s prevailing terms and conditions on such subject matter.

• Global Ocean will bear the costs of returns of the Items. For the avoidance of doubt, Global Ocean shall not be obliged to bear the costs of returns for items that are not eligible for returns, and in such an event, you may be asked to reimburse Global Ocean for any postage incurred.

• Items must be in their original purchase condition, including the original packaging, manufacturer's containers, documentation, and all accessories. All packaging must be unmarked and not defaced in any manner.

• Any items that you received with tag(s) attached must be returned with the same tag(s) intact.

• Items purchased as part of a set or multi-item pack have to be returned as a whole set.

• All returned Items will be reviewed by Global Ocean. Items should also match the written or photographic documentation of their condition provided when requesting the return. Returned Items that do not meet the abovementioned requirements will not be accepted and you may be charged for any expenses incurred by Global Ocean.

• In the case of Price is Right Items, all returns shall be subject to the ultimate final approval of that third-party.

• Global Ocean reserves the right to offer, in lieu of a replacement Items or a refund at our sole discretion.

• Any request for a return of Items shall take approximately 14 business days after receipt by Global Ocean of the Items to be processed. In the case of Price is Right Items, the processing time will depend on the third-party.

37. If you use the eStore, you are responsible for maintaining the confidentiality of your account and password. You agree to accept responsibility for all activities that occur under your account or password.

38. The membership application may not be approved if you have had your membership cancelled or suspended by Global Ocean in the past. Global Ocean reserves the right to disapprove any membership registration without giving any reason.

39. Suspension of Provisions of Service, Cancellation of Membership Account

In the event that your act falls under any of the prohibited conduct/behavior set forth in this TOU and Privacy Policy, Global Ocean may suspend the provision of this service to you, restrict your access to the website or cancel your membership account at its sole discretion without giving any reason or prior notice to you. If any disputes regarding the suspension, restriction or cancellation, Global Ocean has the right to make the final decision.

40. The failure of Global Ocean at any time to exercise, or delay on its part in exercising, any right or remedy under these TOU or to require performance by you or to claim a breach of any term or condition of these TOU shall not be deemed to be a waiver of such or any other rights or remedies available to Global Ocean, nor will any single or partial exercise of any right or remedy preclude any other or further exercise thereof or the exercise of any other right or remedy by Global Ocean.

41. If any term or condition of these TOU or the application of any such term or condition is held to be invalid or unenforceable by a court of competent jurisdiction, the same shall be deemed to be deleted from these TOU and be of no force and effect, whereas the other terms and conditions hereof shall remain in full force and effect as if such term or condition had not originally been contained in these TOU.

42. You must read the TOU, constitute the entire agreement between you and Global Ocean regarding the use of the services on the Website, and, unless specified otherwise, supersede and replace any prior agreements between you and Global Ocean.

43. Global Ocean may from time to time amend this TOU without notice, and the updated version of the TOU can be found on the Website.

44. This TOU and all matters relating to your access to, or use of, the Website shall be governed by and construed in accordance with the laws of Singapore, and you hereby submit to the non-exclusive jurisdiction of the Singapore courts.

45. Any dispute arising out of or in connection with these TOU shall be governed by Singapore law. In the event of any such dispute, you agree to use your best efforts and in good faith to attempt to first resolve such a dispute with Global Ocean through mediation. In the event that mediation is unsuccessful, you agree that the Singapore courts shall have exclusive jurisdiction to hear and resolve any dispute arising out of these TOU.
